1. Acceptance of the Terms of Service

The Services, all underlying algorithms and software and software tools, and all domain names, trademarks, trade names, service names, logos, and other designations of origin, whether registered or unregistered, that are used or displayed in connection with the Services, including but not limited to the “Code Central” trademark (collectively, the “Code Central Marks”), and all Intellectual Property Rights in all of the foregoing, are owned by Code Central or its affiliates, unless otherwise indicated, and are protected by United States and international copyright, trademark, patent, trade secret, and other Intellectual Property Rights laws. You agree that you will not use or reproduce the Code Central Marks without our prior written consent. All other names, logos, product and service names, designs, and slogans displayed in connection with the Services are the trademarks of their respective owners.
You may use the Services for your personal, non-commercial use only. You must not
reproduce, distribute, modify, create derivative works of, publicly display, publicly
perform, republish, download, store, or transmit any of the material provided in
connection with our Services, except as follows:
- Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials;
- You may store files that are automatically cached by your Web browser for display enhancement purposes;
- You may print or download one copy of a reasonable number of pages of the Services for your own personal, non-commercial use and not for further reproduction, publication, or distribution;
- If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non- commercial use, provided that you agree to be bound by our end user license agreement for such applications; and

5. Prohibited Uses
You may use the Services only for lawful purposes and in accordance with these Terms
of Service. You agree not to use the Services:
- In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries);
- For the purpose of exploiting, harming, or attempting to exploit or harm, minors in any way by exposing them to inappropriate content, asking for Personally Identifiable Information, or otherwise;
- To send, knowingly receive, upload, download, process, use, or re-use any material which does not comply with the Content Standards;
- To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail,” “chain letter,” or “spam” or any other similar solicitation;
- To impersonate or attempt to impersonate Code Central, a Code Central employee, another user, or any other person or entity (including, without limitation, by using email addresses or social media handles associated with any of the foregoing); or
- To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Services, or which, as determined by us, may harm Code Central or users of the Services or expose them to liability.
Additionally, you agree not to:
- Use the Services in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of the Services, including their ability to engage in real-time activities through the Services;
- Use any robot, spider, or other automatic device, process or means to access the Services for any purpose, including monitoring or copying any of the material provided in connection with the Services;
- Use any manual process to monitor or copy any of the material provided in connection with the Services, or for any other unauthorized purpose, without our prior written consent;

6. Content Standards
These content standards (the “Content Standards”) apply to any and all of your User Contributions and your use of any Interactive Services. User Contributions must in their entirety comply with all applicable federal, state, local, and international laws and regulations. You agree to promptly inform Code Central in the event that you receive notice or otherwise become aware that any User Contribution violates these Content Standards.
Without limiting the foregoing, User Contributions must not:
- Contain any material which is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory or otherwise objectionable;
- Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
- Infringe any patent, trademark, trade secret, copyright or other intellectual property or other rights of any other person;
- Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms of Service and our Privacy Policy;
- Be likely to deceive any person;
- Promote any illegal activity, or advocate, promote or assist any unlawful act;
- Cause annoyance, inconvenience or needless anxiety or be likely to upset, embarrass, defame, alarm or annoy any other person;
- Impersonate any person, or misrepresent your identity or affiliation with any person or organization;
- Involve commercial activities or sales, such as contests, sweepstakes and other sales promotions, barter or advertising; or
- Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.
7. Changes to the Services
We may update the functionality, content, or services provided in connection with the Services from time to time, but the Services are not necessarily complete or up-to-date. Any of the material provided in connection with the Services may be out of date at any given time, and we are under no obligation to update such material.

WITHOUT LIMITING THE GENERALITY OF THE FOREGOING AND NOTWITHSTANDING ANYTHING TO THE CONTRARY HEREIN, (I) TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CODE CENTRAL DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, WITH RESPECT TO THE SERVICES AND THE SUBJECT MATTER OF THESE TERMS OF SERVICE, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, ADEQUACY, INTEGRITY, TIMELINESS, NON- INFRINGEMENT, TITLE, NON-INTERFERENCE, ERROR-FREE OR UNINTERRUPTED SERVICE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES THAT MAY BE IMPLIED FROM USAGE OF TRADE, COURSE OF DEALING, OR COURSE OF PERFORMANCE, AND (II) CODE CENTRAL IS NOT PROVIDING ANY GUARANTEE REGARDING OUTCOMES OR RISKS, INCLUDING WITH RESPECT TO CODE CENTRAL’S USES OF ALL OR PART OF YOUR DATA. CODE CENTRAL HAS NO OBLIGATION TO CONFIRM THE ACCURACY OR COMPLETENESS OF ANY OF YOUR DATA.
8. Limitation of Liability
Neither party shall be liable to the other party hereunder for any punitive, incidental, indirect, special, reliance, or consequential damages, or lost business, revenue, or profits, whether based on breach of contract, tort (including negligence) or otherwise, and regardless of whether the party was advised of the possibility of such loss or damages and notwithstanding the failure of essential purpose of any limited remedy under these Terms of Service. In no event shall Code Central’s aggregate liability to you in connection with these Terms of Service or the Services exceed the greater of (i) one hundred dollars ($100) and (ii) the aggregate amounts paid by you to Code Central hereunder.
9. Indemnification
You agree to indemnify and hold harmless Code Central, its affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any direct or third- party claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees and costs of settlement) arising out of or relating to your violation of these Terms of Service or your use of the Services, including, but not limited to, your User Contributions, any use of the Services’ content, services, and products other than as expressly authorized in these Terms of Service, or your use of any information obtained from the Services.
10. Governing Law and Jurisdiction
All matters relating to the Services and these Terms of Service shall be governed by, and construed in accordance with, the laws of the State of California, without reference to conflicts of laws principles. The parties agree that the state and federal courts in California will have exclusive jurisdiction and venue under these Terms of Service, and the parties hereby agree to submit to such jurisdiction exclusively.
11. Waiver and Severability
No waiver by Code Central of any term or condition set forth in these Terms of Service shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Code Central to assert a right or provision under these Terms of Service shall not constitute a waiver of such right or provision.
If any provision of these Terms of Service is held to be illegal, invalid, or unenforceable in any jurisdiction, such finding shall not affect the interpretation of the Terms of Service in any other jurisdiction, and the remainder of the Terms of Service shall continue in full force and effect in such jurisdiction as though such provision had not been contained herein.
12. Construction
In the event an ambiguity or question of intent or interpretation arises under these Terms of Service, these Terms of Service shall be construed as if drafted jointly by the parties and no presumption or burden of proof shall arise favoring or disfavoring any party by virtue of the authorship of any of the provisions of these Terms of Service. As used in these Terms of Service, the terms “include” and “including” shall be deemed to be immediately followed by the phrase “without limitation.” The terms “herein” and “hereunder” and similar terms shall be interpreted to refer to the entire Terms of Service. The captions and headings in these Terms of Service are inserted for convenience and reference only and in no way define or limit the scope or content of these Terms of Service and shall not affect the interpretation of its provisions.
13. Entire Agreement
These Terms of Service and the Privacy Policy constitute the complete, final, and exclusive agreement between the parties with respect to the subject matter hereof, and supersedes all prior or contemporaneous oral or written representations, understandings, agreements, or communications between them concerning the subject matter hereof. Neither party is relying upon any warranties, representations, assurances, or inducements not expressly set forth herein. In the event of a conflict among or between the terms and conditions of these Terms of Service and the Privacy Policy, these Terms of Service shall control.
